Terms of Service

These Terms of Service ("Terms") govern the supply of products and services by Diningprint ("we", "us") to the customer ("you"). By submitting an order, you agree to these Terms.

1. Who we are

Diningprint is a B2B supplier of custom-printed disposable wooden cutlery, chopsticks, napkins, paper wrappers, takeout packaging, and related items for restaurants, cafés, caterers, hotels, and event organizers worldwide. Products are manufactured at our partner factories.

2. Quotes and orders

  • Indicative pricing on our Site is for guidance only. Final pricing is confirmed in a written quote, valid for 14 days unless stated otherwise.
  • A binding contract forms when you accept our written quote or place an online order and we acknowledge it.
  • Minimum order quantities (MOQ), unit prices, and lead times depend on product type, artwork complexity, printing method, and shipping route. We will state these in the quote.

3. Artwork and approvals

  • You are responsible for supplying accurate artwork and approving the digital mockup before production. Once you approve the mockup in writing (email is sufficient), production begins and changes are no longer possible.
  • You warrant that you own, or have permission to use, all logos, trademarks, images, text, and other artwork you submit. You indemnify Diningprint against third-party intellectual property claims arising from your artwork.
  • We may decline to print artwork that, in our reasonable opinion, is unlawful, offensive, or infringes third-party rights.

4. Payment terms

  • Online orders (Stripe, PayPal): paid in full at checkout before production begins.
  • Wire transfer (TT) orders: 30% deposit on order confirmation, 70% balance prior to shipment, unless otherwise agreed in writing.
  • Bank charges for wire transfers are borne by you (the sender).
  • Prices are quoted in USD unless stated otherwise. Currency conversion costs are borne by you.

5. Production lead times

Standard production lead time is 14–30 working days after artwork approval and payment of the deposit. Rush production may be available for an additional fee. Lead times are best-effort estimates and not contractually binding deadlines unless we agree to a fixed delivery date in writing.

6. Shipping, customs, and risk

  • Default shipping terms are FOB China port (for bulk orders) or DDP delivered duty paid (for small orders shipped by international courier). The applicable Incoterm will be stated in the quote.
  • Title and risk of loss pass to you on the Incoterm transfer point (typically when the goods are loaded on the vessel for FOB orders, or delivered to your address for DDP orders).
  • For FOB orders, you are responsible for import duties, taxes, customs clearance, and last-mile freight. For DDP orders, these are included unless stated otherwise.
  • Estimated delivery dates are not guaranteed. Delays caused by carriers, customs, weather, or force majeure are outside our control.

7. Quality, claims, and tolerances

  • Slight variations in color, grain, finish, and print position are normal for custom-printed wood and paper products. A tolerance of up to ±3% on print size and position, and ±5% on order quantity, is standard industry practice.
  • Defect or wrong-product claims must be submitted in writing to hello@diningprint.com within 7 calendar days of receipt, with photographs and a clear description.
  • Our liability for defective or non-conforming goods is limited to, at our discretion, reproducing the affected goods or refunding the affected portion of the order. See our Refund Policy for details.

8. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or in connection with any order is limited to the amount you paid for that order. We are not liable for indirect or consequential losses (including loss of profit, business interruption, or reputational harm).

9. Intellectual property

You retain ownership of your artwork. We retain ownership of our website, the customizer tool, product photography, brand assets, and any production templates we create. You grant us a non-exclusive license to use your artwork to produce, package, and ship the goods, and to display anonymized mockups for portfolio purposes (you can opt out by email).

10. Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including strikes, port closures, customs delays, natural disasters, pandemics, war, or sudden changes in import/export regulation.

11. Governing law and disputes

These Terms are governed by the laws of Hong Kong SAR. Any dispute will first be addressed in good-faith negotiation. If unresolved within 30 days, the dispute will be submitted to the Hong Kong International Arbitration Centre (HKIAC) for arbitration in English.

12. Changes to these Terms

We may update these Terms periodically. The version in effect at the time you place an order applies to that order. The current version is always available at diningprint.com/terms.
